4. Orders, Payments, and Refunds

We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed fraudulently, orders that exceed reasonable quantities, or orders that we are unable to fulfill due to circumstances beyond our control.

You will receive an order confirmation via email once your order has been accepted. This confirmation constitutes our acceptance of your order and forms a binding contract between you and Hangry Joe's.

4.2 Pricing and Payment

All prices displayed on the Website are in United States Dollars (USD) and are subject to applicable sales taxes, delivery fees, and service charges, which will be clearly disclosed at checkout. We reserve the right to change our prices at any time without prior notice; however, price changes will not affect orders that have already been confirmed.

4.3 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared or is in transit. We will review your claim and, at our sole discretion, may offer a replacement, store credit, or partial refund.

5. Delivery and Pickup

Delivery times and pickup times provided are estimates only and are not guaranteed. Actual delivery or pickup times may vary due to factors including but not limited to order volume, traffic conditions, weather, and other circumstances beyond our control. We shall not be liable for any delays in delivery or pickup.

You are responsible for providing accurate and complete delivery address information. We shall not be responsible for failed deliveries resulting from incorrect or incomplete address information provided by you. Additional charges may apply for redelivery attempts.

Upon delivery, it is your responsibility to inspect the order before accepting it. By accepting delivery, you acknowledge that the order appears to be in satisfactory condition. Delivery is available only within our designated service areas, which are subject to change.

6. Allergen and Dietary Information

We make reasonable efforts to provide accurate allergen and nutritional information on our Website. However, our food is prepared in facilities that may handle common allergens, including but not limited to nuts, dairy, gluten, eggs, soy, shellfish, and fish. IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO HANGRY JOE'S IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Hangry Joe's and you, and Hangry Joe's would not be able to provide the Services on an economically reasonable basis without such limitations.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hangry Joe's, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising from or relating to:

You waive any objection to the exercise of personal jurisdiction over you by such courts and waive any objection to venue in such courts.

These Terms shall be interpreted and enforced in compliance with applicable federal law, including without limitation the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), applicable consumer protection statutes, and all other applicable federal regulations governing food service, e-commerce, and online business operations.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt in good faith to resolve any dispute within thirty (30) days of receipt of your notice. If the dispute is not resolved within that time, either party may proceed to formal dispute resolution as described below.

15.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that qualify for small claims court, and except as otherwise provided herein, you and Hangry Joe's agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services (collectively, "Disputes"), will be resolved solely by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and not in a court of law.

The arbitration will be conducted in the English language. The arbitrator shall have exclusive authority to resolve any Dispute, including without limitation any claim that all or any part of this arbitration agreement is void or voidable. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND HANGRY JOE'S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Hangry Joe's agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

16. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Website or Services. We reserve the right, at our sole and absolute discretion, to:

• Suspend or terminate your access to all or any part of the Services at any time, with or without cause, and with or without notice;
• Delete your account and any associated data, subject to applicable legal requirements;

19. Severability
